Also known as: ConstaCloud, Constacloud, ConstaCloud Pvt. Ltd., CONSTACLOUD LLC, Commercium, Commercium by ConstaCloud, ConstaCloud Commercium, "Constacloud All in 1 Connector," and related variants marketed by Shubham Vajpayee.
This is the official notice regarding ConstaCloud Pvt. Ltd. ("ConstaCloud") and its Commercium ecommerce integration platform. APIWORX, LLC ("APIWORX"), a Delaware limited liability company and ecommerce integration platform provider, owns all intellectual property rights in the proprietary ecommerce integration technology — including data models, workflow logic, API integration architecture, and related systems — that ConstaCloud has misappropriated and is commercializing as Commercium.
Formal Legal Action Against ConstaCloud and Commercium
APIWORX has engaged counsel and taken formal enforcement action against ConstaCloud Pvt. Ltd., its U.S. affiliate CONSTACLOUD LLC (Delaware File No. 2481551, currently Not in Good Standing), and their CEO Shubham Vajpayee in connection with the unauthorized development, distribution, and commercialization of Commercium.
ConstaCloud served as APIWORX's software development vendor for approximately seven years under a Master Services Agreement (the "MSA"). Under the MSA, all work product and intellectual property created by ConstaCloud for APIWORX became the sole and exclusive property of APIWORX upon creation. ConstaCloud retained no ownership rights, license rights, or commercialization rights in any technology developed under the agreement.
APIWORX terminated the MSA for cause effective March 30, 2026. Following termination, ConstaCloud has continued to operate, market, and sell Commercium — including through the Shopify App Store, the BigCommerce App Marketplace, the Microsoft Commercial Marketplace, the Amazon Selling Partner Network, and dozens of other distribution channels — without authorization and in direct breach of the MSA's IP assignment, confidentiality, non-solicitation, and non-compete provisions.
A formal cease-and-desist letter was served by APIWORX's outside counsel on April 10, 2026. No substantive response was received. APIWORX has since taken further formal enforcement measures across multiple jurisdictions and reserves all available legal and equitable remedies, including referral to criminal authorities where the facts warrant.
Summary of Claims
APIWORX's enforcement action is grounded in the following claims, each independently actionable:
- Breach of contract — including breach of the MSA's IP assignment provisions (Section 2.2), confidentiality provisions (Section 3.1), return-of-materials obligation (Section 5), 36-month non-solicitation covenant (Section 1.5), and 24-month post-termination non-compete covenant (Section 9, running through March 2028).
- Misappropriation of trade secrets under the federal Defend Trade Secrets Act (18 U.S.C. § 1836) and applicable state trade-secret statutes — including misuse of APIWORX's proprietary integration architecture, data models, customer information, and technical documentation.
- Copyright infringement — unauthorized reproduction, distribution, and public display of APIWORX-owned source code, copy, screenshots, marketing materials, and product documentation. DMCA notices have been served on hosting and distribution platforms where applicable.
- Trademark and trade-dress concerns — unauthorized use of APIWORX's marks, product imagery, and distinctive trade dress in connection with Commercium's marketing.
- False association and false advertising under the Lanham Act § 43(a) (15 U.S.C. § 1125(a)) — public claims by ConstaCloud of "Official Integration Partner" status with platforms where no signed partnership agreement exists; and product representations that misstate ConstaCloud's contractual right to offer the underlying technology.
- Unfair competition and deceptive trade practices under applicable state consumer-protection statutes.
- Tortious interference with prospective economic advantage and contractual relations — improper interference with APIWORX's customer, partner, and channel relationships.
- Aiding and abetting / contributory liability — claims preserved against any third party that, after actual notice of APIWORX's rights, continues to host, distribute, syndicate, monetize, or otherwise facilitate Commercium.
- Potential criminal exposure and referral to authorities — APIWORX has preserved, and is actively evaluating, referrals to U.S. federal and state criminal authorities (and, where appropriate, foreign authorities and Interpol channels) in connection with the underlying conduct. Areas under review include, without limitation: criminal theft of trade secrets under the Economic Espionage Act (18 U.S.C. §§ 1831–1832); violations of the Computer Fraud and Abuse Act (18 U.S.C. § 1030); criminal copyright infringement (17 U.S.C. § 506 / 18 U.S.C. § 2319); wire fraud (18 U.S.C. § 1343) arising from interstate misrepresentations of ownership, partner status, and certification; and related conspiracy, aiding-and-abetting, and money-laundering exposure for parties knowingly facilitating the conduct after notice.
APIWORX expressly reserves all additional claims and remedies, including injunctive relief, accounting and disgorgement of profits, statutory damages, attorneys' fees where authorized, and cooperation with any civil or criminal investigation by competent authorities.
Warning to Customers, Partners, Affiliates, Resellers, and Other Counterparties
Anyone currently using, distributing, reselling, integrating with, marketing, syndicating, or otherwise transacting with Commercium, ConstaCloud Pvt. Ltd., CONSTACLOUD LLC, or Shubham Vajpayee in connection with the Commercium product should be aware that the rights, ownership, technology, partnerships, certifications, and other representations made by ConstaCloud in connection with Commercium are not accurate.
Specifically, and without limitation:
- ConstaCloud does not own the integration technology, data models, workflow logic, connector frameworks, or related IP that underlies Commercium. APIWORX is the rightful and sole owner.
- ConstaCloud does not have a valid license to commercialize, distribute, sublicense, or resell that technology in any form, under any product name, on any platform.
- ConstaCloud is contractually prohibited from offering services or products competitive with APIWORX through at least March 2028 under the Section 9 non-compete covenant of the parties' Master Services Agreement, and from soliciting APIWORX customers, partners, and personnel through at least March 2029 under the Section 1.5 non-solicitation covenant.
- "Official Integration Partner" badges and similar partner-status claims displayed by ConstaCloud / Commercium (currently advertised across approximately 27 platforms and ecosystems) are, in multiple cases,not supported by signed partnership agreements with the platforms named, and may constitute false association under the Lanham Act and deceptive trade practices under applicable state law.
- Compliance, security, and audit representations (including SOC 2 and similar trust-center claims) made in connection with Commercium are subject to verification questions APIWORX has raised with counsel and the relevant audit and certification authorities.
- CONSTACLOUD LLC, the U.S. affiliate marketed in connection with Commercium, is a Delaware limited liability company (File No. 2481551) that is currently Not in Good Standing with the Delaware Division of Corporations.
Customers, prospective customers, affiliates, resellers, integration partners, and other counterparties of Commercium are strongly encouraged to conduct independent due diligence on the accuracy of any technology-ownership, licensing, partnership, certification, or compliance claim made by ConstaCloud or its representatives, and to obtain written warranties and indemnities before relying on those claims.
Notice to Platforms and Service Providers
This notice is also directed to platforms, marketplaces, app stores, payment processors, cloud service providers, integration partners, press-syndication services, review and trust-center platforms, and any other third parties currently hosting, distributing, listing, syndicating, or facilitating the commercialization of Commercium.
Any platform or service provider that continues to host, list, distribute, monetize, or process transactions for Commercium after receiving actual notice of APIWORX's IP ownership claims may face liability for contributory infringement. APIWORX has submitted, or is in the process of submitting, formal takedown, retraction, partner-conduct, and IP-infringement notices to the relevant platforms.
Third parties who have received licensing proposals, partnership approaches, or "Official Integration Partner" claims from ConstaCloud, CONSTACLOUD LLC, or Shubham Vajpayee in connection with Commercium should be aware that ConstaCloud does not hold valid ownership or licensing rights to the underlying technology. APIWORX is the rightful IP owner.
